RECENT HISTORY

Gordon Muir, Chairman of the Board, and Penny Perfect, CEO have combined their respective skills in sales, marketing and technology with over two decades of financial services experience while specializing in the venture capital markets. In January of 1999 this Nevada corporation changed its name to AlphaTrade.com and acquired the software assets necessary to begin a successful rollout of a Web based product now called E-Gate, the Living Desktop. Sales began in November, 1999 and will incorporate groups and individual users ranging in price from only $20-$70 monthly.

PRODUCT LINE

Versatility best describes AlphaTrade.com's product. Access to your tailored windows of financial data requires only that you type in, "alphatrade.com" on any Internet capable computer. The rest is entirely your own input. The Quote Grid includes 40 lines for symbols and nine (9) columns to identify symbol, high, low, last, change, volume, bid, offer...These columns can also be tailored to your liking with information including: year high, year low, dividend, market capitalization, P/E or EPS. Once you input your data it remains stored until changed. The Portfolio Tracker provides storage for another 40 symbols on another window that is easily accessed with a click of the mouse. Two streaming Tickers allow input of another 40 symbols that provide dynamic quotes as you view the monitor. Level II data provides dealer bids & offers for two (2) stocks simultaneously; something that no one else offers. News is obtained from dozens of sources and is offered for individual stocks, industries or events. A charting service for the technically oriented includes daily, weekly and monthly snapshots of price action detailing levels of support for purchases and overhead supply where selling may occur. Research material from Zachs is another feature of this system that will continue to add functions including: options/futures, pre-market and after-market pricing, time & sales and mutual funds.

As the growth in online investment accounts continues to soar, the demand for interactivity and dynamic streaming information will rise as well. Let there be no doubt that the "Internet World" is here to stay. Gone are the days of excitement with new operating systems and processor speeds. People want continuous access to the Internet with free-flowing streams of information in almost every category. We have only scratched the surface of what is to come with photography, music and videos through the computer.

AlphaTrade.com's Bridge feed will enhance speed & breadth of data. Rollout begins this month to further amplify E-Gate as the state-of-the-art financial information portal. As a web based system, no downloads or software are required. On any computer, anywhere, you merely type in "alphatrade" and input your password and ID. Your customized stored data is then accessed easily with the click of a mouse. The RCD or Remote Control Device is the center of all activity. This mini-browser contains all the product information outlined, including: news, quote grid, portfolio, tickers, charts, and Zacks. Merely "click and view" any of the data you request. Should you need to work on another window while maintaining E-Gate, you are enabled to do multitasking simultaneously.

CAPACITY

AlphaTrade's infrastructure incorporates the fiber-based OC-3 (155Mbps) in the continental U.S. to transmit data. European business will utilize the Globix high-capacity DS-3 connection. Existing capacity is 1 million users. Extra security measures have been taken to provide complete privacy as an E-Gate user. Virtual Private Networks (VPN) is being used with triple DES encryption to secure all information and transaction business as a subscriber. The home office in Vancouver, BC has a separate security office that monitors the encrypted data flow to prevent the capture of that data by hackers.

TARGET MARKETS

The obvious subscriber is anyone using an on-line broker for their investments. While much information is currently available through their services, time constraints and the lack of live, dynamic quotes is often a debilitating factor when deciding on an investment and taking action to purchase or sell a security. For a minimal monthly subscriber fee, an investor can have instant live data at their fingertips.

In addition, group sales to brokerage firms would enable the system to be their own proprietary data feed and transaction center. With over 5,000 broker-dealers in the U.S. this a logical place to begin revenue ramp-up.

Selective advertising should provide a strong means to increase revenue. As the RCD is accessed each day as the center of activity, a banner which uses a recognizable logo from a major corporation will be in plain view of those users for an entire day. Rotating a number of these different logos throughout a week or month makes perfect sense for the advertiser as well as AlphaTrade. As business grows on the Internet, you can bet that advertising will grow as well.

Transaction business will overlay the data with the ability to enter into a transaction to purchase or sell a security. This add-on business will be enormous as more and more firms use this unique service with its many tools.

FINANCES

With an accumulated deficit of $2.3 million, most of which has been funded by their Chairman and CEO, and a very recent stream of revenue beginning late last year, I expect the completion of at least one finance deal this spring. This will enable a more well-defined mobilization of sales and marketing to generate revenue while adding capital to the acquisition pool for market reach.

Joint venture partners and licensing agreements will expand capacity beyond our shores to include the vast European markets while utilizing the multi-lingual capacity already in place.

Private financing will also add the necessary asset profile to AlphaTrade's balance sheet for a NASDAQ application while enabling joint ventures to formulate plans for video and the untapped interactive wireless market.

TECHNICAL & VALUATION SUMMARY

The recent shakeout in NASDAQ reflected nearly a 30% correction off its highs. This much needed pullback did well to clean out the excesses and clear a path for price appreciation following a retest of the lows around 3640. The message is clear; use closer scrutiny when entering the technology arena.

While AlphaTrade felt the pinch of this NASDAQ collapse, it should be noted that the stock now rests attractively on the $4 support line. Consolidation at this level is constructive while the company enlists more group users for its unique financial system and deploys other revenue generating strategies. With 26.6 million shares (fully diluted) and a valuation of $103 million, we expect a lot of delivery during rollout, capital formation, marketing and future alliances. The stock should be accumulated for aggressive investors.
